Unless expressly stated otherwise, our services are advisory in nature and do not constitute legal, tax, accounting, labor, investment, or other regulated professional services. Where such matters arise, you are responsible for consulting qualified licensed professionals.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and up-to-date information necessary for the performance of the services;
- Cooperate in good faith and provide timely responses, materials, approvals, and access reasonably required for service delivery;
- Ensure that any materials, data, or content you provide do not infringe third-party rights or violate applicable laws;
- Use any deliverables in accordance with applicable laws and the intended Business Consulting Japan purpose;
- Not use our services for unlawful, fraudulent, misleading, defamatory, or harmful purposes;

4. Payment Terms and Conditions

Any scope changes, additional requests, or work outside the agreed scope may result in additional charges, subject to prior confirmation or written agreement where reasonably possible.
5. Cancellation and Refund Policy
Because our services are professional consulting services and may involve allocation of time and resources in advance, cancellations and refunds shall be handled as follows, unless otherwise specified in a separate agreement:
- Before work has commenced: cancellation may be possible upon written notice, subject to deduction of any non-recoverable costs incurred by the Company.
- After work has commenced: fees already incurred, including preparation work, meetings, research, analysis, drafting, and reserved resources, shall not be refundable.
- For milestone-based or retainer services, amounts corresponding to completed or partially completed work are non-refundable.
- Any refund, if applicable, will be made only for unused portions of prepaid fees after deducting completed work and reasonable expenses.
In the event of termination due to the client’s breach of these Terms or the applicable agreement, no refund shall be required except as mandated by applicable law or expressly agreed in writing.
6. Liability Limitations
To the fullest extent permitted by applicable law, Business Consulting Japan Inc. shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost opportunities, Business Consulting Japan interruption, or loss of data, arising out of or in connection with the use of our services.
Our total aggregate liability for any claim arising from or relating to the services shall be limited to the amount of fees actually paid by the client to the Company for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, except where a greater limitation is required or prohibited by applicable law.
We do not guarantee specific Business Consulting Japan outcomes, regulatory approvals, funding decisions, sales results, revenue growth, or operational improvements, as such outcomes depend on numerous factors outside our control.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is not permitted under applicable Japanese law, including liability for willful misconduct or gross negligence where such limitation is not legally effective.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, know-how, templates, tools, frameworks, and materials owned or developed independently by Business Consulting Japan Inc. shall remain the exclusive property of the Company.
Upon full payment of all applicable fees, the client is granted a non-exclusive, non-transferable, non-sublicensable right to use the deliverables created specifically for the client for its internal Business Consulting Japan purposes, subject to any third-party rights and any restrictions set forth in the relevant agreement.
The client shall not:
- Reproduce, distribute, modify, publish, or commercialize Company materials beyond the permitted scope;
- Remove proprietary notices or claim ownership of the Company’s pre-existing materials;
- Use deliverables in a manner that infringes the intellectual property rights of the Company or any third party.
If the client provides materials, the client represents that it has the necessary rights to use and supply them to the Company for the purposes of service delivery.
8. Data Protection and Privacy
Business Consulting Japan Inc. will handle personal data and Business Consulting Japan information in accordance with applicable Japanese laws and regulations, including the Act on the Protection of Personal Information (APPI), as applicable.
We may collect, use, store, and process information necessary to provide, manage, improve, and support our services, including communications, billing, project management, and compliance purposes.

11. Applicable Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan.
Any dispute arising out of or in connection with these Terms or the services provided by Business Consulting Japan Inc. shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, unless otherwise required by applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be deemed severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
